　 区股权投资产业发展措施

　一、本措施适用于在在东湖开发区（资本特区）注注册的内资、外资、中外合资资股权投资企业和股权投资管管理企业。

　二、规范工商登登记

　（一）市各有关部门对对股权投资企业、股权投资管管理企业，给予工商注册登记记的便利。

　（二）股权投资资企业、股权投资管理企业可可在企业名称中使用“基金””或者“投资基金”。

　（三三）公司制、合伙制股权投资资企业、股权投资管理企业,,在章程或者合伙协议中应当当明确规定不得以任何方式公公开募集和发行基金。

　（四四）承担管理责任的股权投资资管理企业的法定住所（经营营场所），可作为股权投资企企业的法定住所（经营场所））办理注册登记。

　三、股权权投资企业的投资范围限于非非公开交易的企业股权，投资资方向应当符合国家产业政策策、投资政策和宏观调控政策策。股权投资企业与股权投资资管理企业在登记注册后应当当向资本特区金融工作部门备备案。

　四、明确税收政策

　（一）凡符合国家政策规定定的合伙制股权投资企业和合合伙制股权投资管理企业，不不作为所得税纳税主体，采取取“先分后税”方式，由合伙伙人分别缴纳个人所得税或者者企业所得税。

　（四）股权权投资企业、股权投资管理企企业采取股权投资方式投资未未上市中小高新技术企业2年年以上（含2年），凡符合《《国家税务总局关于实施创业业投资企业所得税优惠问题的的通知》（国税发〔〕87号号）规定条件的，可按照其对对中小高新技术企业投资额的的70%抵扣企业的应纳税所所得额。

　五、奖励及补贴

　（二）在资本特区注册的股股权投资管理企业，自缴纳第第一笔营业税之日起，对其实实际缴纳的营业税市、开发区区两级财政留成部分（以下简简称地方财政留成部分），前前2年按照100%予以补贴贴，后3年按照50%予以补补贴。

　（三）股权投资管理理企业自盈利年度起，对其实实际缴纳的企业所得税地方财财政留成部分，前2年按照1100%予以补贴，后3年按按照50%予以补贴。

　（四四）股权投资管理企业高级管管理人员，对其实际缴纳的““工资、薪金所得项目”个人人所得税地方财政留成部分，，5年内按照100%予以补补贴。

　股权投投资企业引进并投资的中小高高新技术企业在注册后3年内内，年度纳税额达到200万万元以上的，给予股权投资企企业一次性20万元奖励。

　对股权投资企业引进并投资的的中小高新技术企业，自取得得第一笔生产经营收入所属纳纳税年度起5年内，按照其缴缴纳的增值税和企业所得税地地方财政留成部分的50%给给予奖励。

　（七）在资本特特区注册的股权投资企业，投投资项目退出或者获得收益后后，按照其上缴企业所得税地地方财政留成部分的60%给给予奖励。

　六、各有关部门门要增强优质服务意识，进一一步简化行政审批手续和程序序，切实提高工作效率，为股股权投资企业和股权投资管理理企业办理登记入驻等各种事事项提供“一站式”服务。资资本特区要建设股权投资大厦厦，吸引和聚集股权投资企业业及股权投资管理企业入驻发发展。

　七、建立项目推荐制制度。定期将适合股权投资企企业投资的大项目、好项目优优先推荐给在资本特区注册并并备案的股权投资管理企业。。对股权投资企业投资的资本本特区的企业，优先列入上市市后备企业培育计划，支持其其在境内外资本市场上市，并并享受有关优惠政策。

　八、、探索外资股权投资企业和股股权投资管理企业的注册登记记、外汇管理、产业投资和退退出机制，支持上述企业在资资本特区发展。
